Welcome to Akraa!

These Terms of Service ("Terms") cover our agreement with you and govern your use of the web application provided by Akraa, a Delaware US corporation ("Akraa", "we" or "us").

By using our products and services, you agree to these Terms. If you do not agree to these Terms, please do not use our Service.

Please read these Terms carefully before you use the Service.

1. Our Services

Akraa offers an integrated platform designed to simplify your payroll, human resources, and compliance management. Our services include:

  • Employee onboarding
  • Automated tax filings
  • Multi-entity management
  • Direct payments via integrated solutions
  • Compliance training and resources
  • Other related SaaS business services

(Collectively, the "Services" or "Platform"). We may update these Services from time to time or add new features in our continuous effort to improve the customer experience.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction.
  • Represent a legitimate, legally recognized business entity.
  • Provide accurate, current, and complete information during the registration process.
  • Not be barred from receiving such services under the laws of the US, the European Union, Nigeria, or other applicable jurisdictions.

Akraa reserves the right to suspend or terminate accounts that do not comply with these eligibility requirements.

3. User Accounts

When you access the Service, you represent and warrant that:

  • You are not a competitor of Akraa using our Services for competitive reasons.
  • You are an authorized representative of the entity you claim to represent.
  • You will be responsible for obtaining all necessary permissions to upload employee information.
  • You will adhere to your employer's internal policies and procedures for use of our platform.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

4. Prohibited Conduct

You agree not to use the Service in any manner that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. This includes, but is not limited to:

  • Uploading harmful content (e.g., malware, viruses).
  • Violating the privacy of others.
  • Using our Service to facilitate illicit activities.
  • Obfuscating the source of funds or transactions.

Any such conduct may result in immediate suspension or termination of your account, reporting to the appropriate authorities, and potential legal action.

Users are strictly prohibited from attempting to bypass our security measures. Such attempts may lead to immediate suspension and potential legal action.

5. Use of the Platform

You and your authorized users agree to:

  • Not upload sensitive data that you do not have permission to process.
  • Ensure that the information provided to the platform is accurate and up-to-date.
  • Act in compliance with all relevant labor laws and data protection regulations.
  • Cooperate with us when an audit process necessitates further documentation.
  • Maintain backups of critical data entered into the platform.

All interactions within the platform will be monitored and logged for security and compliance purposes.


6. Billing and Subscriptions

When you subscribe to a paid version of our Services, you agree to pay the fees set out in our pricing plans. Fees are subject to change, but we will notify you before any changes become applicable to you.

Taxes & Duties

  • Prices do not include any applicable taxes, levies, duties or similar governmental assessments.
  • You are responsible for paying all applicable taxes associated with your subscriptions hereunder.
  • We will collect and remit any local taxes if required to do so by local or state authorities.

You authorize us (or our third-party payment processors) to charge your payment method on file on a monthly or annual basis, according to your subscription terms.

If your payment mode fails, we may suspend your access to the Premium features until payment is successfully processed.

7. Third-Party Services

Akraa may include integrations with third-party software ("Third-Party Services"). We are not responsible for the performance or security of these Third-Party Services.

  • We do not warrant the offerings of any of these entities.
  • You should review the terms and policies of any such Third-Party Services.
  • We shall not be held liable for any data loss, corruption, or breaches originating from those integrations.

By enabling Third-Party Services, you grant us permission to share your data with those services as necessary to facilitate the integration.

8. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind.

We do not guarantee that the Service will function without interruption or errors.

  • While we take cybersecurity very seriously, we do not guarantee that the Platform is completely free of vulnerabilities.
  • We do not warrant the accuracy or completeness of any tax or compliance information provided through the Service.
  • We are not a law firm or a licensed accounting firm. Our materials are provided for informational purposes only and do not constitute legal or tax advice.

You must consult with your own legal counsel or tax professional before making any decisions based on information provided by Akraa.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Akraa and its affiliates, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits
  • Loss of data
  • Loss of goodwill
  • Any other intangible losses
  • Cost of procurement of substitute goods or services

Resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

In no event shall the aggregate liability of Akraa exceed the amount you paid us over the past twelve (12) months.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Akraa and its licensors.

You may not:

  • Copy, modify, or distribute any part of the Service
  • Reverse engineer or attempt to extract the source code
  • Use our trademarks without our prior written consent
  • Create derivative works based on the platform

You retain all rights to your data; however, by uploading it, you grant us a license to process and display it for the purpose of providing the Service.

11. Confidentiality

Both parties agree to hold each other's Confidential Information in strict confidence. "Confidential Information" means all non-public information disclosed by either party to the other.

Confidential Information does not include information that:

  • Is or becomes publicly known
  • Was already known by the receiving party
  • Is received from a third party without restriction
  • Is independently developed by the receiving party

We may disclose Confidential Information to the extent required by law or to respond to valid legal processes.

12. Information Security

We implement and maintain industry-standard administrative, physical, and technical safeguards.

  • Data is encrypted in transit and at rest.
  • We conduct regular vulnerability scans.
  • We maintain a comprehensive Incident Response Plan.
  • Access to client data is strictly limited on a need-to-know basis.

We notify affected clients promptly in the event of a verified data breach that compromises their personal information.

13. Account Suspension & Termination

We may suspend or terminate your account and bar access to the Service:

  • For any reason or no reason, with 30 days written notice.
  • Automatically and immediately if you breach these Terms.
  • If you engage in prohibited conduct as defined in Section 4.
  • If we receive a subpoena, court order, or other legal request.

Upon termination, your right to use the Service will immediately cease. You will remain liable for any outstanding fees.

14. Changes to these Terms

We may modify these Terms at any time, in our sole discretion.

If we do make changes:

  • We will provide notice by posting the updated Terms on the website.
  • We will update the "Last updated" date at the top of these Terms.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
